Terms of Service for Josplay Creator's Service

Welcome to Josplay Creator’s Service! These Terms of Service (“Terms”) govern your access to and use of the Josplay Creator’s Service (“Service”), the platform provided by Josplay Ent Limited (“Josplay,” “we,” or “us”) that allows creators (“Creators” or “you”) to upload and distribute their music and audiobooks.

By accessing or using the Service, you agree to comply with these Terms. If you do not agree to these Terms, you may not use the Service.

1. Eligibility

To use the Service, you must:

• Be at least 18 years old or the age of majority in your jurisdiction.
• Have the legal authority to enter into these Terms.
• Own or have the necessary rights to upload and distribute the content (“Content”) you submit to Josplay.

2. Account Registration

You must create an account to use the Service. You agree to provide accurate and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your account credentials and for any activities conducted through your account.

3. Content Submission and Rights

3.1 Grant of Rights

By uploading Content to the Service, you grant Josplay a non-exclusive, royalty-bearing, transferable, sublicensable, worldwide license to:

• Host, store, reproduce, and distribute your Content on Josplay platforms.
• Redistribute your Content to third-party partners for further use and streaming.

3.2 Creator Responsibilities

You represent and warrant that:

• You own or have the necessary rights to upload and license the Content.
• Your Content does not infringe the rights of any third party, including copyrights, trademarks, or other intellectual property rights.
• Your Content complies with all Servicelicable laws and regulations.

3.3 Content Removal

You may request the removal of your Content from Josplay platforms by contacting us. However, removal does not affect any sublicenses already granted to third parties or obligations related to ongoing partner agreements.

4. Remuneration and Billing

4.1 Metered Billing

Creators are remunerated through Josplay’s metered billing policy. Earnings are calculated based on streams or listens, as detailed in our Billing Policy.

4.2 Payment Terms

Josplay will provide periodic earnings reports and make payments to Creators in accordance with the schedule outlined in the Billing Policy. You are responsible for any taxes Servicelicable to your earnings.

5. Prohibited Activities

You agree not to:

• Upload Content that contains unlawful, harmful, or objectionable material.
• Attempt to manipulate streaming data or earnings.
• Use the Service in any manner that violates this Terms of Service and applicable laws or infringes on Josplay’s or a third party’s rights.

6. Termination

Josplay may suspend or terminate your account if you breach these Terms or engage in prohibited activities. You may also terminate your account at any time. Upon termination, the rights you granted to Josplay under Section 3 remain in effect for any sublicenses previously granted.

7. Disclaimers and Limitation of Liability

The Service is provided “AS IS” without warranties of any kind. Josplay is not liable for:

• Indirect, incidental, or consequential damages.
• Losses arising from the use of or inability to use the Service.

8. Governing Law

These Terms are governed by the laws of Nigeria, without regard to its conflict of laws principles.

9. Changes to the Terms

Josplay may update these Terms from time to time. We will notify you of significant changes by posting an updated version in the Service or sending you an email. Your continued use of the Service constitutes acceptance of the updated Terms.
